3. Eligibility & Use of Website

You must be at least 18 years of age and legally capable of entering into a binding contract to use our Website and Services. You agree to provide accurate, current, and complete information when contacting us or engaging our Services, and to use the Website only for lawful purposes.

4. Services

Mindcrew provides custom software development, product design, quality assurance, and consultancy Services. The specific scope, timeline, deliverables, and pricing of any Services will be defined in a separate proposal, quotation, statement of work, or agreement (“Engagement Terms”). In the event of a conflict between these Terms and signed Engagement Terms, the Engagement Terms shall prevail for that engagement.

5. Quotes, Fees & Payment

• Quotes and estimates provided are based on the requirements shared with us and may be revised if the scope changes.
• Fees, payment schedules, and milestones will be set out in the applicable Engagement Terms.
• Unless otherwise agreed in writing, invoices are payable within the period stated on the invoice. Late payments may result in suspension of Services.
• All fees are exclusive of applicable taxes (including GST) unless stated otherwise.

6. Intellectual Property

All content on the Website — including text, graphics, logos, designs, and the “Mindcrew Technologies” name and branding — is owned by or licensed to Mindcrew and is protected by applicable intellectual property laws. You may not copy, reproduce, or reuse Website content without our prior written consent.

Ownership of Deliverables created during a client Engagement is governed by the applicable Engagement Terms. Unless otherwise agreed in writing, ownership of custom Deliverables transfers to the client upon full payment, while Mindcrew retains rights to its pre-existing tools, frameworks, and know-how.

7. Acceptable Use

You agree not to:

• Use the Website or Services for any unlawful, fraudulent, or harmful purpose;
• Attempt to gain unauthorized access to the Website, its servers, or connected systems;

You agree to indemnify and hold harmless Mindcrew, its directors, employees, and agents from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of your breach of these Terms, your misuse of the Website or Services, or your violation of any law or third-party rights.

13. Termination

We may suspend or terminate your access to the Website at any time, without notice, if we reasonably believe you have violated these Terms. Termination of a client Engagement is governed by the applicable Engagement Terms. Provisions relating to intellectual property, confidentiality, disclaimers, limitation of liability, and indemnification survive termination.

14. Governing Law & Jurisdiction

These Terms are governed by and construed in accordance with the laws of India. Subject to any dispute-resolution provisions in signed Engagement Terms, the courts of Indore, Madhya Pradesh, India shall have exclusive jurisdiction over any disputes arising out of or in connection with these Terms.

We may update these Terms from time to time. Any changes will be posted on this page with an updated “Last updated” date. Your continued use of the Website or Services after changes are posted constitutes acceptance of the revised Terms.
